Terms of Use

1. Introduction

Welcome to Vibz, a platform designed to support entrepreneurs, companies, consultants, institutions, and other users in structuring, analyzing, and developing ideas, business models, business plans, and strategic plans.

Vibz is a platform owned by Viabilize Projetos e Negócios Ltda., a private legal entity registered with the Brazilian CNPJ under No. 32.286.061/0001-53, headquartered at R. Prof. Telmo de Souza Torres, 255/813 - Praia da Costa, Vila Velha - ES, Brazil.

By accessing, registering for, or using the platform, you declare that you have read, understood, and agreed to these Terms of Use. If you do not agree with any provision of this document, we recommend that you do not use Vibz.

2. Definitions

For the purposes of these Terms of Use:

Vibz: a digital platform for business planning, analysis, and development, supported by technology and artificial intelligence resources.
Viabilize: Viabilize Projetos e Negócios Ltda., the company responsible for the development, operation, and maintenance of Vibz.
User: any individual or legal entity that accesses, registers for, or uses the platform.
Account: the individual registration created by the user to access the platform.
Business plan: the set of information, analyses, projections, texts, answers, documents, and other content entered, generated, or organized by the user within the platform.
User Content: data, texts, ideas, information, documents, projections, answers, and other materials provided by the user while using Vibz.
Complementary Services: additional consulting, mentoring, diagnosis, follow-up, review, strategic planning, or professional support services that may be contracted by the user, when available.

3. Nature of the Service

Vibz provides digital tools to support the user in organizing ideas, analyzing markets, modeling businesses, preparing plans, financial projections, strategic planning, and decision-making.

The platform's features may include automated resources, structured models, templates, analyses, suggestions, recommendations, and content generated with the support of artificial intelligence.

The autonomous use of the platform does not, by itself, constitute the provision of individualized consulting, legal, accounting, tax, financial, corporate, investment, or any other personalized professional advisory service.

However, the user may, when available, contract additional consulting, mentoring, diagnosis, follow-up, business plan review, strategic planning, or professional support services offered by Viabilize or by authorized partners. In such cases, the contracted services may be subject to specific commercial proposals, contracts, scopes, deadlines, responsibilities, and conditions, which shall complement these Terms of Use.

Even when consulting or mentoring services are contracted, strategic, operational, financial, commercial, and legal decisions related to the business shall remain under the user's responsibility, and it shall be up to the user to evaluate, validate, and decide whether to adopt the recommendations received.

4. Registration and User Account

To use certain features of Vibz, the user must create an account and provide true, complete, and updated information.

The user is responsible for maintaining the confidentiality of their access credentials, including login and password, as well as for all activities carried out through their account.

The user agrees to immediately inform Viabilize if they identify any unauthorized use of their account or any suspected security breach.

Viabilize may suspend or restrict access to accounts that show signs of misuse, violation of these Terms, fraud, risk to platform security, or breach of legal obligations.

5. Plans, Payments, and Access

Vibz may offer free plans, trial periods, paid plans, subscriptions, one-time packages, additional features, or specific commercial conditions, as disclosed on the platform itself or through official communications.

Prices, features, usage limits, validity periods, renewal conditions, and payment methods may vary according to the contracted plan.

By contracting a paid plan, the user agrees to the commercial conditions presented at the time of contracting, including price, billing frequency, term, payment method, and any rules regarding renewal, upgrade, downgrade, or cancellation.

When applicable, payments may be processed by third-party payment providers. In such cases, the user shall also be subject to the terms, policies, and conditions of those providers.

Failure to pay, expiration of the contracted plan, or cancellation of the subscription may result in suspension, limitation, or termination of access to platform features.

Viabilize may change prices, plans, and commercial conditions at any time, respecting the rights already acquired by the user during the current contracted period, when applicable.

6. Complementary Consulting and Mentoring Services

In addition to using the platform, the user may contract, when available, complementary consulting, mentoring, diagnosis, follow-up, business plan review, strategic planning, or other professional services related to business development.

These services may be provided directly by Viabilize or by authorized partners, consultants, mentors, or specialists, according to the commercial and operational conditions presented at the time of contracting.

The contracting of complementary services may be subject to a commercial proposal, specific agreement, acceptance term, scope definition, schedule, responsibilities, limits of action, fees, payment method, and specific cancellation conditions.

Unless expressly provided in a specific agreement, consulting and mentoring services are advisory in nature and do not guarantee commercial, financial, operational, legal, tax, fundraising, credit approval, program admission, revenue increase, profitability, or business success results.

The user acknowledges that the implementation of recommendations, strategies, analyses, or guidance received will depend on internal and external factors related to their business, including execution, market conditions, competition, availability of resources, management, timing, economic conditions, and their own decisions.

7. User Content

The user retains ownership of the information, ideas, texts, answers, projections, documents, and other content they enter or develop in Vibz.

By using the platform, the user authorizes Viabilize to store, process, organize, analyze, and use the User Content exclusively to the extent necessary to operate the platform, deliver its features, generate analyses, improve the user experience, provide support, comply with legal obligations, and protect the security of the service.

The user declares that they have all necessary rights, authorizations, and permissions over the content they enter into the platform and shall be responsible for any violations of third-party rights, confidentiality, intellectual property, trade secrets, or contractual obligations.

Viabilize does not claim ownership over business plans or strategic information created by the user within the platform.

8. Use of Artificial Intelligence

Vibz uses artificial intelligence resources to support users in their business planning, analysis, structuring, and development process.

Responses, analyses, suggestions, and recommendations generated by artificial intelligence may contain inaccuracies, inconsistencies, limitations, biases, gaps, or outdated information. Therefore, they should be interpreted as support for reflection and decision-making, and not as definitive guidance.

The platform's artificial intelligence resources do not replace human judgment, technical validation, critical analysis, or consultation with specialized professionals.

When the user contracts consulting or mentoring services, interactions with Viabilize professionals or authorized partners may complement the use of the platform, according to the scope, conditions, and limits defined in the specific contracting.

Strategic, operational, financial, legal, commercial, or investment decisions made based on the use of Vibz, its automated tools, or recommendations received through complementary services are the user's responsibility, unless expressly provided otherwise in a specific agreement.

Viabilize may evolve, replace, adjust, or discontinue artificial intelligence models, providers, integrations, and features used in the platform, always seeking to preserve the quality, security, and continuity of the service.

9. Permitted Use and Prohibited Conduct

The user agrees to use Vibz in a lawful, ethical manner and in compliance with these Terms of Use.

The user is prohibited from:

Using the platform for illegal, fraudulent, abusive, discriminatory purposes or purposes that violate third-party rights;
Entering unlawful, offensive, defamatory, discriminatory, violent, misleading content or content that infringes copyrights, trademarks, trade secrets, or other third-party rights;
Attempting to access accounts, data, systems, servers, or restricted areas without authorization;
Reverse engineering, copying, modifying, reproducing, selling, sublicensing, or commercially exploiting the platform without express authorization;
Using bots, scripts, automation, scraping, data mining, or other automated means that may compromise the stability, security, or performance of the platform;
Interfering with the operation of Vibz, testing vulnerabilities without authorization, or engaging in any conduct that may compromise platform security;
Sharing access credentials with third parties or allowing unauthorized use of their account.

Violation of this section may result in suspension or termination of the account, without prejudice to any applicable legal measures.

10. Intellectual Property of the Platform

All content, structure, design, brand, visual identity, texts, flows, features, codes, databases, algorithms, models, documents, interfaces, graphic elements, and other assets related to Vibz are owned by Viabilize or by third parties that have authorized their use.

The use of the platform does not grant the user any intellectual property rights over Vibz, its elements, methodologies, technologies, or brands.

The user is authorized to publicly mention that they use Vibz, including through screenshots, presentations, or their own materials, provided that such use does not involve alteration of brands, removal of legal notices, false association, depreciative use, or violation of the rights of Viabilize or third parties.

Viabilize is a registered trademark of Viabilize Projetos e Negócios Ltda. The name Vibz, its visual identity, and its brand elements are used by Viabilize in the context of the platform.

11. Privacy and Data Protection

Viabilize processes personal data in accordance with the Brazilian General Personal Data Protection Law - LGPD, Law No. 13.709/2018, and other applicable regulations.

Personal data may be processed for purposes such as account creation and authentication, service provision, platform operation, user communication, support, security, fraud prevention, experience improvements, compliance with legal obligations, and the regular exercise of rights.

The processing of personal data carried out by Vibz is detailed in the platform's Privacy Policy, which forms an integral part of these Terms of Use.

As a personal data subject, the user may exercise the rights provided for under the LGPD, including, when applicable:

Confirmation of the existence of personal data processing;
Access to the personal data processed;
Correction of incomplete, inaccurate, or outdated data;
Anonymization, blocking, or deletion of unnecessary or excessive data or data processed in violation of the law;
Data portability, subject to legal and regulatory limits;
Information about data sharing with third parties;
Withdrawal of consent, when processing is based on this legal basis;
Request for deletion of data processed based on consent, when applicable.

12. Information Security

Viabilize adopts reasonable technical and organizational measures to protect the data and information processed by the platform against unauthorized access, loss, alteration, improper disclosure, or destruction.

Despite security efforts, no digital system is completely immune to failures, attacks, outages, or events beyond Viabilize's reasonable control.

In the event of a security incident that may pose a relevant risk or damage to personal data subjects, Viabilize will adopt the appropriate measures, including communications to the competent authorities and affected data subjects, when required by applicable law.

13. Data Deletion Due to Inactivity or Plan Termination

Business plans and related data may be deleted after 6 months from the end of the validity period of the package, plan, or subscription contracted, if there is no renewal or new contracting by the user.

Whenever technically possible and legally applicable, Vibz may notify the user by email before permanent deletion, allowing the export of data available on the platform.

After permanent deletion, the data may not be recoverable.

Certain data may be retained for a longer period when necessary to comply with legal, regulatory, tax, accounting, fraud prevention, security, dispute resolution, or regular exercise of rights obligations.

14. Communication with Users

Viabilize may communicate with users by email, platform notifications, or other means provided by the user to:

Send transactional messages related to the account, security, payment, support, platform use, or relevant changes to the services;
Communicate updates, news, improvements, and changes to terms, policies, or features;
Share educational content, materials, recommendations, and information related to entrepreneurship, planning, and business development;
Encourage proper and continuous use of the platform.

The user may request to unsubscribe from promotional or marketing communications at any time. Transactional, operational, or legal messages may continue to be sent when necessary for the provision of the service or compliance with applicable obligations.

15. Platform Availability

Viabilize will make reasonable efforts to keep Vibz available and operating properly. However, the platform may be temporarily unavailable due to technical reasons, maintenance, updates, infrastructure failures, third-party events, acts of God, force majeure, or other factors beyond Viabilize's reasonable control.

Viabilize may modify, update, replace, suspend, or discontinue platform features, in whole or in part, seeking to preserve the evolution, security, viability, and quality of the service.

16. Third-Party Services and Tools

Vibz may use, integrate with, or depend on third-party services, including infrastructure, authentication, payment, communication, storage, data analysis, and artificial intelligence providers.

Viabilize does not fully control third-party services and is not responsible for failures, unavailability, changes, policies, practices, or decisions adopted by such providers, without prejudice to reasonable efforts to select appropriate partners and protect users' interests.

17. Limitation of Liability

To the fullest extent permitted by applicable law, Viabilize, its partners, officers, employees, suppliers, and partners shall not be liable for losses, damages, harm, lost profits, loss of opportunities, loss of data, indirect, incidental, special, or consequential damages arising from:

The use or inability to use the platform;
The adoption, interpretation, or application of suggestions, analyses, or recommendations generated by the platform or by artificial intelligence;
The adoption, interpretation, or application of recommendations received through complementary consulting, mentoring, or follow-up services, unless expressly provided otherwise in a specific agreement;
Incorrect, incomplete, or outdated information provided by the user;
Strategic, financial, commercial, legal, or operational decisions made by the user;
Technical failures, unavailability, interruptions, errors, attacks, unauthorized access, or third-party conduct;
Integrations, services, tools, payment providers, artificial intelligence models, or third-party platforms.

The use of Vibz is carried out at the user's own risk, and the user remains responsible for validating the information and decisions related to their business.

18. Changes to the Terms

Viabilize may update these Terms of Use at any time to reflect legal, regulatory, technical, commercial, or operational changes.

The updated version will be published on the website or within the platform, indicating the update date. When the changes are relevant, Viabilize may notify users by email, platform notice, or other appropriate means.

Continued use of Vibz after the publication or communication of the changes constitutes acceptance of the new version of the Terms of Use.

19. Applicable Law and Jurisdiction

These Terms of Use shall be governed by and interpreted in accordance with the laws of the Federative Republic of Brazil.

The courts of the District of Vila Velha, State of Espírito Santo, are hereby elected to resolve any disputes arising from these Terms, except where applicable law determines a different jurisdiction.
